Japanese company Fujifilm has announced the takeover of the American company Xerox. The merger will occur on the basis of an existing company Fuji Xerox, which the Japanese get 50.1% of the shares.

U.S. Xerox Corp. and Japanese Fujifilm Holdings Corp. announced the deal, which involves the joining Xerox in the joint venture of the two companies, Fuji Xerox created more than half a century ago.

Under the deal, Xerox shareholders will receive a total of $2.5 billion in the form of special dividends and will remain the owners of 49.9% of the joint venture. The boards of Directors of both companies have approved the deal.

It is expected that the transaction will be closed in the second half of 2018. After closing about 20% of the employees of the joint venture (about 10 thousand people) will be dismissed as part of the reorganization.

Earlier it was reported that Xerox plans to split its operations into two separate companies.
